Heidrick & Struggles Holds First Annual Stockholders Meeting as a Public Company

CHICAGO--(BUSINESS WIRE)--June 2, 2000--Heidrick & Struggles International, Inc. (Nasdaq: HSII), the world's largest and premier executive search firm, today held its first annual meeting of stockholders as a public company. Company executives delivered a positive outlook of the company's growth potential and gave an upbeat report on accomplishments during the past year.

Donald M. Kilinski, Heidrick & Struggles' Chief Financial Officer, recapped the company's record-setting financial results in 1999 and in the 2000 first quarter. "We are solidly positioned to continue to capitalize on two dynamic growth markets: executive search and e-cruiting," Kilinski said.

At the meeting, stockholders elected four directors to the board, each for a three-year term expiring in 2003: David B. Kixmiller, Bengt Lejsved, Robert W. Shaw and Carlene M. Ziegler.

Kixmiller has served as Heidrick & Struggles' Practice Managing Partner, Technology since 1998. Lejsved has served as the company's Area Managing Partner, Northern and Eastern Europe since February 1999. Shaw most recently served as the Chief Executive Officer and member of the Board of Directors of USWeb/CKS. Ziegler has served as the Managing Director of Artisan Partners, LP since January 1995.

In other business, stockholders voted to increase the number of shares authorized for issuance under the GlobalShare Plan, the company's equity program. In addition, they approved a performance-based compensation plan for the CEO and ratified the appointment of Arthur Andersen LLP as the company's independent public accountants.
