Heidrick & Struggles Reduces Size of Board

Resignations of Two Members Accepted

CHICAGO, Dec. 14 /PRNewswire/ -- Heidrick & Struggles International, Inc. Nasdaq: HSII), the world's premier executive search and leadership consulting firm, today announced that, as part of its plan to reshape its Board of Directors, it has accepted the resignations of two members -- Dr. John C. Viney and Mr. Robert Louis-Dreyfus -- to bring the size of the Board down to nine directors. Both resignations are effective December 12, 2001.

Viney, 54, who will retain his title of Chairman-Europe for Heidrick & Struggles, is stepping down from the Board of Directors to devote his full attention to his Heidrick & Struggles executive search activities, which focus primarily on identifying and placing CEOs, chairs, and non-executive directors for global boards, and to advising companies on the structure and composition of their boards.

Louis-Dreyfus, 55, is resigning because of a conflict.

As previously discussed in its 2001 proxy statement, Heidrick & Struggles intends to work toward achieving greater independence of its Board of Directors with an ultimate goal of a majority of its Board being comprised of independent directors. Therefore, it is anticipated that additional changes in the Board will be made over time.
