Heidrick & Struggles Holds Annual Shareholders' Meeting
CHICAGO, June 6 /PRNewswire-FirstCall/ -- Heidrick & Struggles International, Inc. (Nasdaq: HSII), the world's premier executive search and leadership consulting firm, today held its annual meeting of shareholders. At the meeting, shareholders elected three directors to the company's board, each for a three-year term expiring in 2005: Robert E. Knowling, Jr., Philip A. Laskawy and Gerard R. Roche. Shareholders also approved the proposal to amend and restate the 1998 Heidrick & Struggles GlobalShare Programs I and II, the company's equity programs.
At the meeting, 14.8 million shares -- or 82 percent -- of the company's common stock were present in person or by proxy.
Knowling is Chairman and Chief Executive Officer of Internet Access Technologies, Inc. Laskawy is the retired Chairman and Chief Executive Officer of Ernst & Young. Roche is Senior Chairman of Heidrick & Struggles International.
As previously discussed in its 2001 proxy statement, Heidrick & Struggles intends to work toward achieving greater independence of its board of directors, with an ultimate goal of a majority of its board being comprised of independent directors. As part of that plan, Jurgen Mulder, Chairman of Heidrick & Struggles Executive Search, chose not to stand for reelection at the expiration of his term in 2002. In addition, Robert W. Shaw, Chairman and Chief Executive Officer of ArcSight, Inc., resigned because of a business conflict. His resignation was effective immediately following today's board meeting.
The total number of directors now stands at nine.
